Changes to NSX Listing and Business Rules ************* As part of the Financial Services Reform Act (FSR), the NSX has been reviewing its business and listing rules to both maintain compliance with the Act, to improve the functioning of the rules and enhance the attractiveness of the NSX as an Exchange for small to medium enterprises. A summary of the proposed enhancements include: Listing Rules * Full definition of securities that can be listed. * Provided for additional disclosure documents now available under the Act for raising capital. * Sliding scale for the calculation of number of shareholders and shareholder spread requirements. * Enhanced disclosure required by companies applying to list. * Strengthened disclosure under the NSX continuous disclosure rules where Issuers are to provide the Exchange with information to avoid creation of a false market. * Issuers can now issue up to 15% of issued capital (previously 10%). The NSX can vary the percentage on a case by case basis. * Possible imposition of fines if a Listed Entity breaches a listing rule. Business Rules * Enhancement rules for the Compensation Regime or NSX Fidelity Fund as determined by Part 7.5 of the Act. * The meaning of "affiliate" changes to "recognised affiliate" where the recognised affiliate can be a responsible officer of a Participating Organisation. * Participants must hold an Australian Financial Markets Licence as opposed to a dealers licence under the old Act. The proposed changes are expected to become effective on 10th March 2004.
